1. Acceptance of Terms

By accessing and using the services provided by FAIRMOUNT HOTELS PRIVATE LIMITED, trading as "Fairplay" ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. These Terms and Conditions ("Terms") govern your use of our website and IT services.

If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Fairplay provides comprehensive IT services including but not limited to:

  • Web development and application development
  • Cloud computing and DevOps services
  • Cybersecurity and compliance solutions
  • Automation and integration services
  • Data analytics and business intelligence
  • Managed IT support and maintenance

Our services are provided subject to the terms and conditions set forth herein and all applicable laws and regulations.

3. User Responsibilities

As a user of our services, you agree to:

  • Provide accurate, current, and complete information when requesting our services
  • Maintain the confidentiality of any login credentials or access codes provided
  • Use our services only for lawful purposes and in accordance with these Terms
  • Not attempt to gain unauthorized access to our systems or other users' accounts
  • Not use our services to transmit any harmful, threatening, or illegal content
  • Comply with all applicable local, state, national, and international laws and regulations

4. Service Level Agreement

4.1 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access to our services. We may experience downtime due to maintenance, updates, or unforeseen circumstances.

4.2 Response Times

We commit to the following response times for support requests:

  • Critical issues: 2 hours during business hours
  • High priority: 4 hours during business hours
  • Medium priority: 24 hours during business hours
  • Low priority: 48 hours during business hours

4.3 Business Hours

Our business hours are Monday through Friday, 9:00 AM to 6:00 PM IST, and Saturday, 10:00 AM to 4:00 PM IST.

5. Payment Terms

5.1 Pricing

All prices are quoted in Indian Rupees (INR) and are subject to applicable taxes. Prices may be updated from time to time, and any changes will be communicated to existing clients with reasonable notice.

5.2 Payment Schedule

Payment terms will be specified in individual service agreements. Generally:

  • Projects may require a deposit before commencement
  • Recurring services are billed monthly in advance
  • One-time services are billed upon completion or as per agreed milestones

5.3 Late Payments

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate allowed by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, trademarks, logos, and intellectual property on our website and in our services remain the property of FAIRMOUNT HOTELS PRIVATE LIMITED or our licensors.

6.2 Client Intellectual Property

We respect your intellectual property rights. Any pre-existing intellectual property you provide remains your property. Custom work created specifically for you will be transferred to you upon full payment, unless otherwise specified in the service agreement.

6.3 Open Source Components

Our solutions may incorporate open-source software components. Such components are subject to their respective open-source licenses, which we will disclose as required.

7. Confidentiality

We understand the sensitive nature of your business information and are committed to maintaining confidentiality. We will:

  • Keep all client information strictly confidential
  • Use client information only for the purpose of providing our services
  • Implement appropriate security measures to protect confidential information
  • Not disclose confidential information to third parties without written consent
  • Return or destroy confidential information upon project completion or termination

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service in question
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for any loss of profits, data, or business opportunities
  • We shall not be liable for any damages resulting from third-party actions or circumstances beyond our control

9. Indemnification

You agree to indemnify and hold harmless FAIRMOUNT HOTELS PRIVATE LIMITED, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you provide or transmit through our services

10. Termination

10.1 Termination by Client

You may terminate our services at any time with written notice. Termination does not relieve you of any outstanding payment obligations.

10.2 Termination by Company

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms.

10.3 Effect of Termination

Upon termination, your right to use our services will cease immediately. We may delete your account and data after a reasonable period, subject to our data retention policies.

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Shimla, Himachal Pradesh.

We encourage resolution of disputes through good faith negotiations before pursuing legal action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of our services after any modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
